- Company refers to Advit, engaged in manufacturing and supplying oil press machines, oil extraction machines, and related equipment.
- Customer/Buyer refers to any individual, firm, or entity purchasing products or services from Advit.
- Products include machines, spare parts, accessories, and related equipment supplied by Advit.
- Agreement refers to these Terms & Conditions along with any quotation, proforma invoice, tax invoice, or purchase order issued or accepted by Advit.
- Supply shall be strictly limited to items specified in the mutually agreed quotation, proforma invoice, or purchase order.
- Any customization, modification, or additional scope requested by the Buyer shall be subject to separate approval and additional charges.
- Technical specifications and performance parameters shall be as stated in the official documentation issued by Advit.
- Prices are quoted in INR unless otherwise specified.
- All prices are exclusive of GST, statutory levies, freight, insurance, installation, commissioning, and other applicable charges unless expressly mentioned.
- Taxes shall be charged as per prevailing government regulations on the date of invoicing.
- Payment terms shall be as specified in the quotation or invoice.
- Unless otherwise agreed in writing, advance payment is required prior to dispatch. Delayed payments shall attract interest at 18% per annum or the maximum rate permitted under applicable law.
- Advit reserves the right to withhold dispatch, service support, or warranty claims in case of outstanding dues.
- Delivery timelines are indicative and subject to manufacturing schedules, logistics conditions, and force majeure events.
- Dispatch is Ex-Works (FOB Factory) unless agreed otherwise in writing.
- Risk of loss, damage, or deterioration transfers to the Buyer upon handover to the transporter or carrier.
- Installation and commissioning, where agreed, shall be conducted at the Buyer’s site under mutually agreed terms.
- The Buyer shall ensure site readiness including power supply, foundation, raw materials, utilities, labor, and safety arrangements.
- Delays due to site non-readiness may result in additional visit or holding charges.
- Advit provides a limited warranty against manufacturing defects for the period mentioned in the quotation/invoice from the date of dispatch.
- Warranty does not cover:
- Wear and tear parts / consumables
- Damage due to mishandling, improper installation, inadequate maintenance, voltage fluctuations, or misuse
- Repairs or alterations carried out by unauthorized personnel
- Warranty is limited to repair or replacement of defective parts at Advit’s discretion. Replaced parts may be new or reconditioned.
- Spare parts and service visits outside warranty scope shall be chargeable.
- Charges may include labor, travel, accommodation, and related expenses.
- Remote assistance (phone/video) may be provided subject to availability and technical feasibility.
- Orders once confirmed cannot be canceled without prior written consent from Advit.
- Customized or made-to-order machinery is strictly non-returnable.
- If cancellation is approved, cancellation charges shall apply based on work completed, materials procured, and administrative costs incurred.
- Advit shall not be liable for indirect, incidental, special, or consequential damages including loss of profit, production, revenue, or business opportunity.
- Advit’s total liability, under any circumstance, shall not exceed the invoice value of the product supplied.
- All drawings, designs, technical documents, manuals, and specifications remain the exclusive intellectual property of Advit. The Buyer shall not reproduce, distribute, or disclose the same without prior written consent.
- Advit shall not be responsible for delays or failure in performance arising from events beyond reasonable control, including but not limited to natural calamities, strikes, government restrictions, transport disruptions, or supply chain constraints.
- This Agreement shall be governed by the laws of India.
Jurisdiction shall be subject to the courts at the place where Advit is legally registered.
- Placement of a purchase order, issuance of written confirmation, or payment of advance shall constitute full and final acceptance of these Terms & Conditions by the Buyer.
