Definitions
- Company refers to Advit, engaged in manufacturing and supplying oil press machines, oil extraction machines, and related equipment.
- Customer/Buyer refers to any individual, firm, or entity purchasing products or services from Advit.
- Products include machines, spare parts, accessories, and related equipment supplied by Advit.
Scope of Supply
- Advit shall supply products strictly as per the quotation, proforma invoice, or purchase order mutually agreed upon.
- Any additional items, modifications, or customization requested by the Buyer shall be chargeable separately.
Pricing and Taxes
- Prices are quoted in INR unless stated otherwise.
- All prices are exclusive of GST, duties, freight, insurance, installation, and commissioning, unless explicitly mentioned.
- Applicable taxes shall be charged as per prevailing government regulations on the date of invoice.
Payment Terms
- Payment terms shall be as specified in the quotation or invoice.
- Unless otherwise agreed in writing, advance payment is mandatory before dispatch.
- Delay in payment may attract interest at 18% per annum or the maximum permissible rate under law.
Delivery and Dispatch
- Delivery timelines are indicative and may vary due to production schedules, logistics constraints, or force majeure events.
- Dispatch is generally Ex-Works / FOB factory, unless agreed otherwise in writing.
- Risk of loss or damage transfers to the Buyer upon dispatch/hand-over to transporter.
Installation and Commissioning
- Installation and commissioning, if included, shall be carried out at the Buyer’s site as per mutually agreed terms.
- The Buyer shall arrange necessary utilities such as power, foundation, oil, labor, and safety arrangements.
- Any delay at site due to non-readiness may lead to additional visit/holding charges.
Warranty
- Advit provides a limited warranty against manufacturing defects for the period mentioned in the quotation/invoice (commonly 6 or 12 months) from the date of dispatch.
- Warranty does not cover:
- Wear and tear parts / consumables
- Damage due to mishandling, improper installation, inadequate maintenance, voltage fluctuations, or misuse
- Repairs or alterations carried out by unauthorized personnel
- Warranty is limited to repair or replacement of defective parts at Advit’s discretion. Replaced parts may be new or reconditioned.
Spare Parts and Service
- Spare parts are chargeable unless covered under warranty.
- Service visits not covered under warranty shall be chargeable for labor, travel, lodging, and related expenses.
- Remote support (phone/video) may be provided where feasible as per Advit’s availability.
Returns and Cancellations
- Orders once confirmed cannot be canceled without written consent from Advit.
- Customized or made-to-order machines are non-returnable.
- If cancellation is approved, cancellation charges may apply based on work completed and material procurement.
Limitation of Liability
- Advit shall not be liable for any indirect, incidental, or consequential losses including loss of profit, production, or business.
- Advit’s total liability, if any, shall not exceed the invoice value of the product supplied.
Intellectual Property
- All drawings, designs, manuals, and technical documents remain the intellectual property of Advit.
- The Buyer shall not copy, share, or reproduce the same without prior written consent from Advit.
Force Majeure
- Advit shall not be responsible for delays or failure in performance due to events beyond its reasonable control, including natural calamities, strikes, government actions, or supply chain disruptions.
Governing Law and Jurisdiction
- These Terms and Conditions shall be governed by the laws of India.
- Jurisdiction shall be subject to the courts where Advit is registered.
Acceptance
- Placement of an order, issuance of a purchase order, or advance payment shall be considered as acceptance of these Terms and Conditions by the Buyer.
